Profspect — Terms of Service

By purchasing or using a Profspect report, you ("you," "the customer") agree to these Terms. If you do not agree, do not purchase or use the service.
1. What Profspect is
Profspect produces an informational report that gathers publicly available information about specific college courses and instructors and organizes it relative to goals you provide (for example, GPA stability or research exposure). The report summarizes and links to public sources; it is analysis and saved research, not a database of third-party content, and not advice.
2. Eligibility
You must be at least 18 years old to purchase. By purchasing you represent that you meet this requirement and that the information you provide (including any transcript) is yours or that you are authorized to submit it.
3. What you receive; license
Upon delivery you receive a single personalized report for your own personal, non-commercial use. We retain all ownership of the report format, templates, methodology, and software. We grant you a limited, personal, non-transferable, non-sublicensable license to use your report. You may not resell, redistribute, publish, sublicense, or share the report (in whole or in part) with anyone else, or use it to build a competing product or service.
4. Payment and refunds
The price is shown at checkout and is due before we begin producing your report. Because each report is custom-produced using paid third-party processing, all sales are final once production begins, subject to one exception:
Quality guarantee. If a delivered report could not meaningfully analyze the majority of the courses or instructors you requested because sufficient public information did not exist (as reflected in the report's own data-quality and coverage indicators), you may request a review within 7 days of delivery by emailing us. We will review the report against its sources and, at our sole discretion, either re-run the report or refund all or part of what you paid. This guarantee covers an objective lack of available public data only. It does not cover dissatisfaction with conclusions that are inherently goal-relative, and it does not guarantee any academic, admissions, or other outcome. It is limited to one request per report and may be declined if we determine in good faith that it is being used abusively.
If our pipeline fails irrecoverably and we cannot deliver a report at all, we will refund you in full.
5. No guarantee; provided "AS IS"
The report is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee any academic, admissions, GPA, financial, or career outcome. The underlying public data is third-party and may be incomplete, out of date, or inaccurate; teaching assignments, course offerings, and articulation change frequently. You must verify course articulation, prerequisites, and active section assignments with your college and the official articulation system (for example, ASSIST.org) before registering. The report is one input among many and is not a substitute for an academic counselor.
6. Acceptable use
You agree not to use a report to harass, defame, threaten, or retaliate against any instructor or other person, and not to make employment or other decisions about another person based on it. The report characterizes courses relative to your goals; it is not an evaluation of any person's character or competence.
7. Limitation of liability
To the maximum extent permitted by law, our total cumulative liability to you for any claim arising out of or relating to the service or any report is limited to the amount you actually paid for that report. We are not liable for any indirect, incidental, consequential, special, or punitive damages, or for any decision you make based on a report.
8. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of a report or your breach of these Terms.
9. Changes to the service and these Terms
We may modify the service or these Terms. Material changes take effect when posted with an updated effective date. Your continued use after changes take effect constitutes acceptance.
10. Governing law; dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to the service or any report will be resolved exclusively by binding individual arbitration administered in Orange County, California. You and we each waive the right to a jury trial and the right to participate in any class, collective, or representative action. If this arbitration provision is found unenforceable, the state and federal courts located in Orange County, California will have exclusive jurisdiction, and you consent to that jurisdiction and venue.
11. Privacy
Your use of the service is also governed by our Privacy Policy, which explains what we collect, how third-party AI services process your inputs, and how and when we delete your data.
